The recent decision in Sibex Construction (SA) (Pty) Ltd v
InjectasealCC 1988(2) SA 54(T) once again focuses attention on the
general duty owed by a director to his company not to make personal
use ofconfidential information, which he acquired by reason of and in
the execution of his office, to acquire a business opportunity for
himself. (Cook v Deeks [1916] 1 AC 554; Regal (Hastings) Ltd v
Gulliver[1967] 2 AC 134; [1942] 1 All ER 378. In Phippsv Boardman
[1967] 2 AC 46 at 123 it was regarded as a fundamental rule of equity |
